BAKER & MCKENZIE ORGANIZED A SEMINAR ON PRACTICAL ASPECTS OF THE IMPLEMENTATION OF JI PROJECTS IN RUSSIA
Moscow, May 26, 2008 - On May. 21, 2008 Baker & McKenzie with the support of the Agency for Environmental and Energy Markets (CJSC “AGENEEM”) organized a seminar Practical Aspects of the Implementation of JI projects in Russia. The seminar was held in the premises of the Moscow office of Baker & McKenzie and was attended by the representatives of Russian and European energy, chemical and metals companies, financial institutions, carbon brokers, consultancy agencies and other participants in the carbon market.
The seminar started with a greeting word from Max Gutbrod, partner at Baker & McKenzie, head of Climate Change and Energy Efficiency Practice. Sergei Sitnikov, associate at Baker & McKenzie, delivered a presentation on "Contractual and Tax Aspects of Implementation of JI-projects in Russia". Among other things, Sergei stressed that the investment agreement rather than Emissions Reduction Purchase Agreement (ERPA) today is considered to be the appropriate agreement for JI projects in Russia. Furthermore, Mr. Sitnikov specified some current legal and commercial issues, in particular regarding the project host and specific registry issues. He noticed, however, that all such risks may be avoided if a preliminary analysis of a particular project is made, and a due contractual regulation is implemented.
The highlight of the event was a speech delivered by Vsevolod Gavrilov, deputy director of the Department of State Tariffs' Regulation, Infrastructure Reforms and Natural Resource Management (Russian Ministry of Economic Development) He answered to the issues raised by Max and Sergei, gave some practical advice on entry in the carbon market, and encouraged Russian companies to turn to professional legal advisors for help in this area. "Carbon credits are a bonus for energy efficiency, a bonus that has to be earned", - commented Mr. Gavrilov.
Viktor Koledenkov from the Agency for Environmental and Energy Markets described the financial instruments available to the participants of the carbon market and talked about different approaches to financial analysis of investment projects with the "kyoto" component.
Andrey Atyakshev from TUEV SUD Russia, certification and consultancy company, shared with the audience experience of his company in determination of JI-projects in Russia. The presentation of Nadezhda Uledova, deputy director of the Russian Carbon Units Registry, focused on the role of the registry in the carbon market and the procedure for transferring ERUs resulting from the JI-projects.

Москва, 26 мая 2008 г. - 21 мая 2008 года международная юридическая фирма "Бейкер и Макензи" при поддержке Агентства экологических и энергетических рынков (ЗАО «АГЕНЭЭР») провела семинар "Практические аспекты проектов совместного осуществления в России". В семинаре, прошедшем в московском офисе "Бейкер и Макензи", приняли участие представители российских и европейских компаний из энергетического и металлургического секторов, компаний химической промышленности, а также финансовых институтов, "карбоновыx" брокеров, консалтинговых агентств и других участников "карбонового рынка".
Семинар начался с приветствия участникам от партнера "Бейкер и Макензи" Макса Гутброда, возглавляющего практику по изменению климата и энергоэффективности. Юрист "Бейкер и Макензи" Сергей Ситников выступил с презентацией "Договорные и налоговые аспекты реализации проектов совместного осуществления (ПСО) в России". В своем выступлении он, в том числе, отметил, что единственной оптимальной договорной структурой для реализации ПСО в России является инвестиционное соглашение, а не Emissions Reduction Purchase Agreement (ERPA). Сергей Ситников также указал на некоторые юридические и коммерческие риски, связанные с реализацией ПСО, в частности в отношении определения владельца источника выбросов и закрепления прав в реестре. Однако, как отметил юрист, всех этих рисков можно избежать, проведя предварительный анализ проекта и заключив необходимые договоры.
Центральным событием семинара стало выступление Всеволода Гаврилова, заместителя директора Департамента государственного регулирования тарифов, инфраструктурных реформ и экономики природопользования Минэкономразвития России. Он ответил на вопросы, поднятые Максом Гутбродом и Сергеем Ситниковым, и дал практические советы по выходу на "карбоновый рынок", а также посоветовал российским компаниям обращаться к профессиональным юридическим консультантам за помощью в этой сфере. "Карбоновые кредиты – это премия за энергоэффективность, а премию надо заработать", - отметил господин Гаврилов.
Виктор Коледенков из Агентства экологических и энергетических рынков охарактеризовал финансовые инструменты "карбонового рынка" и остановился на различных подходах к финансовому анализу инвестиционных проектов с "киотским компонентом".
Андрей Атякшев из сертификационной и консалтинговой компании "ТЮФ ЗЮД Русланд" рассказал о практическом опыте своей компании в детерминации проектов совместного осуществления. Презентация Надежды Уледовой, заместителя директора Российского Реестра углеродных единиц, была посвящена роли Реестра в функционировании карбонового рынка и процедуре передачи единиц сокращения выбросов (ЕСВ), приобретаемых в результате реализации ПСО.

As a result of the transaction the shareholders of Alliance Oil have taken a 60% controlling stake in West Siberian Resources Ltd. The transaction documents were governed by English law and a multi-jurisdictional team including lawyers in London, Moscow, Stockholm and Bermuda was required.
